THE CONSTITUTION

As of 12-1-1993

ARTICLE I

 

Section 1.

 

The name of the organization shall be the Texas Canoe Racing Association (T.C.R.A)

 

ARTICLE II

 

Section 1.

 

The purpose of the organization shall be the advancement of canoe racing through fellowship, sportsmanship and friendly competition.

 

ARTICLE III

 

Section 1.

 

All persons, businesses or associations are eligible for membership.

 

Section 2.

 

To become a member, one must fill out an application and pay the dues prescribed by the bylaws.

 

Section 3.

 

There shall be five types of membership:  Individual, Family, Youth, Business and Honorary as prescribed by the bylaws.

 

ARTICLE IV

 

Section 1.

 

The government of the organization shall be vested in a Board of directors, who shall be members of the organization.  The board of Directors shall consist of ten members with at least one member of each sex represented.

 

Section 2.

 

The Board of Directors shall be President, Vice President and Secretary/Treasurer.

 

Section 3.

 

The Board of Directors and Officers shall be nominated and elected in a manner prescribed by the bylaws.

 

Section 4.

 

The annual meeting of members of the organization shall be held during a period prescribed by the bylaws, the exact date, hour and place to be set by the Board of Directors.  All other meetings will be held as prescribed by the bylaws.

 

ARTICLE V

 

Section 1.

 

Articles of the Constitution can only be amended, after publication in the newsletter at least 30 days prior, by a two-thirds vote of the members attending the annual General Membership meeting.

 

Section 2.

 

Bylaws can only be amended by a majority vote of the Board of Directors when a quorum of six members is present.  All changes will be published in a subsequent newsletter.
