Meeting Minutes

 

February 10, 2008T= own Lake - Austin, Texas

 

In Attendance= : Pete Binion, Grady Hicks, Ken Kieffer, Mike Rendon, Erin Magee, Richard Ste= ppe, Frank Gray, Ginsie Stauss, Tommy Yonley, Lee Deviney, John Baltzell.

 

General Annou= ncements:

  1. Lee Deviney to work with USCAK to have our local ICF races advertised in t= heir National Series of Races calendar.

 

Agenda Items:=

 

  1. Pete Binion has proposed obtaining additional insurance coverage for the c= lub in addition to the individual race event policies.
  2. Two new polices are under consideration and are coverage specifically for= the Board Members and their actions working in a capacity for the club, a= nd a larger Club Liability policy to cover all members at certain club san= ctioned (non-race) events.
  3. Motion prevailed to purchase the Board Member liability policy with the condition the premium was less than $1,000.
  4. Additional research is needed on the policy that provided coverage for the entir= e Club at sanctioned non-race events.  All race events will continue to be covered under cover of separate individual policies.
  • Recent changes in law no longer allow “social clubs” such as the TCRA to be exempt from filing tax returns without any registration requirements.
  • Social clubs seeking tax exempt status must now complete form 990-n (electro= nic postcard) to comply with rules set forth in 501(c) 7.
  • Other relevant rules discussed related to any non-Club business related profits, specifically interest income.  501(c) 7 states that profit = not related to the direct business of the club cannot exceed 35% of net profit.  Given the club routinely only breaks even it was agreed that Club funds would not be invested in any interest bearing accounts or securities.
  • Motion carried to continue Club business as the status of a Social Club and Secretary-Treasurer will file appropriate IRS paperwork.
  • Mike Rendon has volunteered to assume duties related to managing the TCRA = web site.
  • This agreement was contingent upon a one time set up of the web site to provide for multiple appropriate and pre-qualified people to provide = the actual direct ongoing content management. 
  • Plan is to be developed and proposed to the board.
  • It was agreed by all that the Texas River Championship presented too much liability to the club and this type of event and venue would be better served by an independent Director.&n= bsp;
  • Tommy Yonley agreed to continue as the Texas River Championship race direct= or with independent authority.
  • In a non-sponsor capacity TCRA agreed to recognize the overall winner of t= he Texas River Championship men’s and women’s Pro class as the TCRA Solo Unlimited Champions.
  • Motion carried to formally adopt all the other TCRA races and locations as originally proposed in December.
  • Three proposals have emerged as options for the 2008 points program.
  • Lengthy debate ensued regarding merits of each proposal. 
  • Discussions of entire proposals were not successful in securing motions to vote.<= /li>
  • Was decided to vote on various elements of all three proposals “ala carte” to develop the program.
  • First motion carried to agree on a 2-tiered system.  With actual the name of the t= iers subject to revision, board has adopted Category 1 for highly competit= ive and experienced paddlers and Category 2 for all others.  Placement in Category 1 can = be done by either self declaration or elimination by virtue of winning a Category 2 class points award.
  • Second motion to carry stated that all races meeting the current rules for inclusion in the points series would be el= igible points races for the Category 2 racers.
  • After much discussion about class parity and irregular race reporting it was decided that Category 1 point races should be a select few of Texas’ premiere race events and generally equally representing = USCA and Unlimited/ICF racing.  Identified point races for Category 1 are:

      1. One additional rule was agreed upon and it relates to non-solo point contenders.  Eligibility= for tandem and other multi person boats will require that all persons in = the boat are TCRA members in order to qualify for TCRA points.
